TERMS OF USE & SYSTEM PROTOCOL

The following universal agreement (the "Terms of Use," "Protocol," or "Agreement") meticulously outlines the binding obligations, strict liabilities, and operational constraints placed upon you when accessing, integrating with, or otherwise utilizing the infrastructure provided by CANOPICO CO., LTD., its subsidiaries, and its aerospace affiliates (collectively, "CANOPICO"). This encompasses the CANOPICO website, the Earth Intelligence as a Service (EIaaS) API, the PICO Engine, the 'Paint & Train' interface, and all associated biological-mimetic algorithms, orbital telemetry data, and structural software (collectively, the "Sovereign System").

PLEASE INGEST AND REVIEW THIS PROTOCOL WITH ABSOLUTE SCRUTINY BEFORE ESTABLISHING AN UPLINK TO THE SOVEREIGN SYSTEM. BY ACCESSING THE SYSTEM, UTILIZING ANY API ENDPOINT, OR CONSUMING ANY DATA STREAM PROVIDED HEREIN, YOU UNEQUIVOCALLY AGREE TO BE BOUND BY THE TOTALITY OF THESE TERMS. IF YOU DO NOT ASSENT TO ALL CONDITIONS CONTAINED WITHIN THIS DOCUMENT, YOU ARE EXPRESSLY FORBIDDEN FROM ACCESSING THE SYSTEM. CANOPICO’S ACCEPTANCE OF YOUR CONNECTION IS STRICTLY CONDITIONED UPON YOUR IRREVOCABLE ASSENT TO THESE TERMS, TO THE EXCLUSION OF ALL OTHERS.

CANOPICO reserves the absolute, unilateral right to dynamically modify, amend, or overhaul this Protocol at any moment, at its sole discretion, to align with evolving aerospace regulations, algorithmic advancements, or corporate mandates. Should alterations constitute a "material shift" to the operational landscape, CANOPICO will broadcast a notification via the Sovereign System interface. The classification of a "material shift" shall be determined exclusively by CANOPICO. Your continued telemetry uplink or access to the Sovereign System following any such broadcast constitutes your legally binding acceptance of the modified Protocol.

3.1 The PICO Engine & Society of Mind: The Sovereign System is driven by a proprietary, biomimetic algorithmic architecture. This includes, but is not limited to, the "Society of Mind" network—a decentralized array of autonomous artificial intelligence agents designed to analyze multispectral, hyperspectral, and Synthetic Aperture Radar (SAR) telemetry. You acknowledge that this architecture is a probabilistic machine learning environment. Outputs are predictive intelligence, not infallible physical truths.

3.2 The 'Paint & Train' Protocol: Access to specialized user interfaces, specifically the 'Paint & Train' classification system, allows operators to isolate spectral signatures. You are solely responsible for the accuracy, legality, and ethical implications of the parameters you define within this interface. CANOPICO bears zero liability for cascading algorithmic failures, false positives, or financial losses resulting from flawed human-in-the-loop (HITL) calibration.

3.3 Ingestion of Operator Data: Any geospatial coordinates, polygons, ground-truth field data, or operational parameters you upload into the Sovereign System ("Operator Data") remains your property. However, by initializing the uplink, you grant CANOPICO a perpetual, irrevocable, royalty-free, worldwide license to ingest, anonymize, and utilize this Operator Data specifically for the continuous training, optimization, and structural reinforcement of the PICO Engine's neural weights.

CANOPICO retains absolute, unencumbered, and perpetual global dominion over all intellectual property embedded within, or generated by, the Sovereign System. This includes, without limitation, all patents, trademarks, trade secrets, the specific biomimetic logic of the Society of Mind, the Earth Intelligence as a Service (EIaaS) architecture, UI/UX designs, "look and feel," vector environments, and the aggregate mathematical models derived from planetary scanning.

You must operate under the assumption that every line of code, graphical output, and telemetry dataset accessed via the System is heavily protected by CANOPICO or a third-party licensor. Absolutely nothing accessed via the Sovereign System may be copied, reproduced, reverse-engineered, scraped, distributed, or utilized to train competitive machine learning models without explicit, cryptographically signed written consent from CANOPICO's executive command.

To the extent CANOPICO provisions API keys, software development kits (SDKs), or direct software access (collectively, "Software"), such Software is fiercely protected by global copyright and patent law. CANOPICO grants you a limited, revocable, non-exclusive, non-sublicensable license to utilize the Software strictly for your authorized internal business operations.

PROHIBITED VECTORS: You are strictly forbidden from, and shall not permit any third party to:
> (a) Reverse engineer, decompile, disassemble, or attempt to extract the source code, training data, or algorithmic weights of the PICO Engine or any component of the Software.
> (b) Utilize the Software to construct a competitive geospatial intelligence platform or rival AI model.
> (c) Interfere with, disrupt, or attempt to bypass the rate-limiting or security architectures of the EIaaS API.
> (d) Deploy the Software for the tracking, surveillance, or targeting of human populations, civilian infrastructure, or classified state assets. The System is strictly mandated for ecological, biospheric, and environmental telemetry.
> (e) Inject logic bombs, malicious code, or attempt data poisoning against the Society of Mind training sets.

CANOPICO provides hyper-spectral ecological intelligence and biomass estimations. WE ARE NOT A FINANCIAL INSTITUTION, MARKET ORACLE, OR REGULATORY BODY. While our Sovereign System provides robust telemetry intended to bring transparency to the Voluntary Carbon Market (VCM), CANOPICO makes no warranties regarding the financial viability, market pricing, or registry acceptance of carbon credits derived from our data.

You acknowledge that third-party registries (e.g., Verra, Gold Standard) dictate their own methodologies. CANOPICO is not liable if our orbital telemetry is rejected, scrutinized, or deemed insufficient by a specific registry. Furthermore, CANOPICO assumes zero liability for financial losses, stranded environmental assets, or invalidated credits resulting from future algorithmic recalibrations or retroactive data corrections applied to the PICO Engine.

READ THIS CLAUSE CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISPRUDENCE, IN NO EVENT SHALL CANOPICO CO., LTD., ITS FOUNDERS, ENGINEERS, DIRECTORS, AFFILIATES, OR THIRD-PARTY SATELLITE PROVIDERS BE HELD LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, INVALIDATED CARBON CREDITS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, OR INABILITY TO ACCESS, THE SOVEREIGN SYSTEM.

THIS COMPREHENSIVE DISCLAIMER APPLIES TO ANY DAMAGES OR INJURY RESULTING FROM ALGORITHMIC FALSE POSITIVES, SATELLITE SENSOR DEGRADATION, TELECOMMUNICATIONS FAILURE, UNAUTHORIZED SYSTEM BREACHES, OR THE NEGLIGENCE OF THIRD PARTIES. IN NO EVENT SHALL CANOPICO’S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL AMOUNTS PAID BY YOU TO CANOPICO FOR THE SPECIFIC API ACCESS OR SERVICE SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

DILIGENT ENGINEERING HAS BEEN APPLIED TO THE CREATION OF THE PICO ENGINE. NONETHELESS, THE SOVEREIGN SYSTEM, THE EIAAS API, AND ALL ORBITAL TELEMETRY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CANOPICO EXPLICITLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CANOPICO DOES NOT WARRANT THAT THE SYSTEM WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, SECURE FROM ADVANCED PERSISTENT THREATS, OR THAT SATELLITE TELEMETRY WILL BE CONTINUOUSLY AVAILABLE WITHOUT CLOUD OR SENSOR INTERFERENCE. YOU ACCESS THIS INTELLIGENCE AT YOUR OWN RISK.

You agree to fiercely indemnify, defend, and hold harmless CANOPICO, its parents, subsidiaries, affiliates, engineers, and officers from any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and expert witness costs) arising out of or relating to: (i) your violation of this Protocol; (ii) your use of the Sovereign System or EIaaS API; (iii) your deployment of the 'Paint & Train' interface; (iv) any financial or ecological representations you make to third parties based on CANOPICO data; or (v) your infringement of any intellectual property or privacy right of any person or entity.

You are strictly prohibited from violating or attempting to violate the security of the Sovereign System. This includes unauthorized access, probing, scanning, or testing the vulnerability of the system or network (Penetration Testing) without prior, explicit written authorization from CANOPICO's security directorate. CANOPICO will investigate occurrences of possible violations and will aggressively cooperate with international law enforcement authorities in prosecuting violators under applicable cybercrime legislation.

11.1 Export Compliance: The Sovereign System, associated Software, and orbital intelligence may be subject to international export control laws and regulations. You shall not export, re-export, or transfer the Software or any proprietary intelligence to any prohibited destination, entity, or individual subject to international embargoes or sanctions.

11.2 Government Entities: If the Software or EIaaS API is acquired by or on behalf of a government entity, it is classified as "commercial computer software" and "commercial computer software documentation." Use, duplication, or disclosure by the government is subject to the restrictions set forth in this Agreement, in accordance with applicable federal or national acquisition regulations, ensuring CANOPICO retains full private-expense development rights.

CANOPICO may immediately terminate, suspend, or throttle your access to the Sovereign System and API at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of this Protocol. Upon termination, your right to use the System will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

This Protocol and your utilization of the Sovereign System shall be governed by, construed, and enforced in accordance with the laws of the Kingdom of Thailand, notwithstanding any conflicts of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement must be filed and maintained exclusively in the competent courts located in Bangkok, Thailand. You hereby irrevocably consent to the exclusive jurisdiction and venue in such courts for such purpose.

This Protocol constitutes the entire agreement between you and CANOPICO regarding the Sovereign System. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. CANOPICO's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. CANOPICO shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond CANOPICO's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation (including "line-noise" interference, orbital debris impacts, or extreme solar weather).
